Terms of Use

1. Introduction

Nexus Co., Ltd. ("Nexus," "Company," "we," "us," or "our") is a blockchain development company focused on utilizing decentralized technologies across multiple blockchain networks. We provide a cross-platform digital asset wallet ("Wallet") designed to support various blockchain ecosystems, enabling seamless interaction with decentralized applications ("Dapps") and digital asset transactions across different networks.

These Terms of Use ("Terms" or this "Agreement") establish the terms and conditions governing your access to and use of our Wallet, including its features, security measures, and third-party integrations. By using or accessing the Wallet, you agree to be bound by these Terms. If you do not agree, you must refrain from using the Wallet.

2. Key Features and Functionality

The Wallet enables users to:

• Store, send, receive, and manage cryptocurrencies and digital assets across multiple blockchain networks which are supported by this Wallet (collectively, "Digital Assets").
• Connect to Dapps, including but not limited to decentralized exchanges.
• View blockchain addresses, monitor transactions, and access real-time asset information.
• Utilize additional functionalities as may be updated or introduced periodically.
• Users can create a nickname and send digital assets using that nickname.
• Users can search for other public nicknames to identify recipient accounts. (Nickname features are only available for users who signed up via Social Login.)

3. Eligibility & Restrictions

• You must be of legal age (the age of majority in your jurisdiction of residence) and not barred from using the Wallet under applicable law.
• By using the Wallet and agreeing to these Terms, you represent and warrant that:
  • You are of lawful age and are lawfully able to enter into contracts. If you are entering into the Terms for an entity, such as the company you work for, you represent and warrant that you have legal authority to bind that entity to these Terms.
  • Neither you nor any person that owns or controls you is subject to sanctions or otherwise designated on any list of prohibited or restricted parties, including but not limited to the lists maintained by the United Nations Security Council, the BVI government, the United Kingdom government, the U.S. Government (e.g., the Specially Designated Nationals List and Foreign Sanctions Evaders List of the U.S. Department of Treasury and the Entity List of the U.S. Department of Commerce), the European Union or its Member States, or other applicable government authority.
• You are responsible for compliance with all applicable local laws related to cryptocurrency transactions.
• If you access the Wallet using Social Login, you remain solely responsible for compliance with all eligibility requirements and for ensuring that no one else uses your social login credentials to access the Wallet.

4. Security & Private Key/Recovery Phrase Management Responsibility

• The Wallet is unhosted/non-custodial, meaning you retain full control of your private keys and Recovery Phrase (defined hereinafter).
• You're responsible for all activities that occur by using the Wallet, or are otherwise referable to your Wallet credentials, whether or not you know about them, and you are solely responsible for your conduct, and the tasks and activities you undertake, on or utilizing the Wallet.
• You acknowledge and understand that, in certain circumstances, such as if you lose or forget your password for your Wallet, you will need to use a recovery phrase to access any Digital Assets stored in your wallet ("Recovery Phrase").
• You are solely responsible for the retention and security of your Recovery Phrase. Your Recovery Phrase is the only way to restore access to the Digital Assets stored in your Wallet if you lose access to your Wallet. Anyone who knows your Recovery Phrase can access, transfer or spend your Digital Assets. If you lose your Recovery Phrase, you may not be able to access, transfer or spend your Digital Assets.
• You acknowledge and agree that Nexus does not store and is not responsible in any way for the security of your Recovery Phrase and you agree to hold Nexus, its affiliates, representatives, agents and personnel harmless and that no such party shall be liable in any way in the event you lose your Recovery Phrase and cannot access, transfer or spend your Digital Assets. You bear sole responsibility for any loss of your Digital Assets due to failure to retain and/or secure your Recovery Phrase.
• Nexus does not store or have access to your Recovery Phrase. Losing your Recovery Phrase may result in permanent loss of access to your Digital Assets.
• You are solely responsible for securing your device, Wallet credentials, and private keys. Any unauthorized access or loss of funds is your sole responsibility.
• Use of Social Login does not alter your responsibilities regarding the secure management of your Recovery Phrase. Social Login does not allow you to recover access to your Digital Assets without your Recovery Phrase.

5. Social Login and Account Integration

• The Wallet provides account creation and access functionality through social login services ("Social Login"), Google or Apple. By using Social Login, you agree to be bound by the applicable terms of service and privacy policies of those providers.
• When you use Social Login to access the Wallet, Nexus may receive certain information from the identity provider, which may include:
  • Identification information (e.g., email address, username)
  • Profile information (where shared by the provider)
• Social Login does not replace your Recovery Phrase. The Wallet remains unhosted and non-custodial, and you are solely responsible for securely storing your Recovery Phrase. Recovery of your Wallet via Social Login is not possible.
• Nexus is not responsible for any issues arising from the use of Social Login, including but not limited to authentication failures, account suspensions, or service disruptions caused by the third-party provider.
• Nicknames are available only to users who register via Social Login. A nickname can be linked to only one wallet address and cannot be duplicated. Nicknames may be visible to other users as part of the transfer and search functionality, based on user consent.
• Users may set, modify, or delete their nickname at any time. Once a nickname is deleted, related features will be restricted.

6. Third-Party Integrations & Services

• The Wallet may connect to third-party services, including exchanges, swaps, liquidity providers, and Dapps. Nexus does not control or assume responsibility for any third-party services. We do not have control over their content, and do not warrant or endorse, and are not responsible for the availability or legitimacy of, the content, products or functionality made accessible via those third parties (including any related website, resources or links displayed therein).
• We make no warranties or representations, express or implied, about the third parties they are owned and operated by, the information contained on them or the suitability of their products or services. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party website, applications, or resources.
• Your interactions with third-party services are governed by their respective terms and policies.
• The Wallet may include third-party swap functionalities. Swap rates, transaction fees, and network conditions may vary, and Nexus makes no guarantees regarding pricing or availability.
  In addition, the Wallet may integrate third-party authentication services to support Social Login. These services are not operated by Nexus, and we make no warranties regarding their availability, security, or data handling practices. Your use of such authentication services is subject to their own terms and policies. Nexus disclaims any responsibility for account access issues, data inaccuracies, or security incidents arising from such third-party services

7. Fees & Charges

• The Wallet itself does not charge fees, but transactions may incur blockchain network fees (gas fees).
• Fees for using third-party services such as swaps and exchanges will be displayed at the time of transaction and are subject to change.
• You are responsible for ensuring sufficient funds for transaction fees associated with blockchain operations.

8. Acceptable Use Policy

You agree not to:

• Engage in fraudulent, illegal, or unauthorized transactions using the Wallet.
• Violate any laws or regulations related to anti-money laundering (AML) and counter-terrorist financing (CTF).
• Use the Wallet to distribute or promote illicit activities, hacking, or money laundering.
• Interfere with or disrupt the Wallet’s operation through malware, denial-of-service attacks, or other harmful actions.
• Use the Wallet in any manner or for any purpose other than as expressly permitted by this Agreement. Except as expressly authorized, you will not, and will not attempt to (i) modify, distribute, alter, tamper with, repair, or otherwise create derivative works of any content included in the Wallet, (ii) reverse engineer, disassemble, or decompile the Wallet or apply any other process or procedure to derive the source code of any software included in the Wallet, (iii) access or use the Wallet in a way intended to avoid incurring fees or exceeding usage limits or quotas, (iv) use scraping techniques to mine or otherwise scrape data, or (v) resell or sublicense the Wallet, or use the Wallet to provide software as a service or any cloud-based, time sharing, service bureau or other services.
• Create or use nicknames that impersonate others or cause confusion
• Use the nickname feature to mislead or impersonate other identities

9. Disclaimers and Limitation of Liability

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE WALLET AND CONTENT IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. THE WALLET ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXUS SPECIFICALLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. NEXUS DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT ACCESS TO THE WALLET OR ANY OF THE MATERIALS CONTAINED THEREIN WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY, OR ERROR-FREE. NEXUS DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES AS TO THE AVAILABILITY OR FUNCTIONALITY OF THE CROSS NETWORK, OR THAT CROSS NETWORK WILL OPERATE FREE FROM INTERRUPTIONS, DELAYS, DEFECTS AND/OR ERRORS THAT MAY DELAY, HINDER OR PREVENT THE TRANSMISSION OF TRANSACTIONS OR MESSAGES TO OR ON THE CROSS NETWORK, OR ANY OTHER NETWORK.

THE WALLET RELIES ON EMERGING TECHNOLOGIES, SUCH AS THE CROSS NETWORK AND THIRD PARTY DECENTALIZED EXCHANGES. SOME FUNCTIONALITY IS SUBJECT TO INCREASED RISK THROUGH YOUR POTENTIAL MISUSE OF THINGS SUCH AS PUBLIC/PRIVATE KEY CRYPTOGRAPHY. BY USING THE SERVICES YOU EXPLICITLY ACKNOWLEDGE AND ACCEPT THESE HEIGHTENED RISKS. NEXUS SHALL NOT BE LIABLE FOR THE FAILURE OF ANY MESSAGE TO SEND TO OR BE RECEIVED BY THE INTENDED RECIPIENT IN THE INTENDED FORM, OR FOR DIMINUTION OF VALUE OF CROSS OR ANY OTHER DIGITAL TOKEN OR DIGITAL ASSET ON THE CROSS NETWORK OR ANY OTHER NETWORK, AND NEXUS MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SAME.

THE NEXUS SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR OTHERWISE OUT OF OR IN CONNECTION WITH ANY AUTHORIZED OR UNAUTHORIZED USE OF THE WALLET, EVEN IF AN AUTHORIZED REPRESENTATIVE OF NEXUS HAS BEEN ADVISED OF OR KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. NEXUS SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO SOFTWARE, PRODUCTS, SERVICES, AND/OR INFORMATION OFFERED OR PROVIDED BY THIRD-PARTIES AND ACCESSED THROUGH THE WALLET.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT SHALL NEXUS' TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) EXCEED THE AMOUNT OF ONE HUNDRED U.S. DOLLARS ($USD100.00) OR ITS EQUIVALENT IN THE LOCAL CURRENCY OF THE APPLICABLE JURISDICTION.

NEXUS IS NOT LIABLE FOR ANY LOSS OF DIGITAL ASSETS DUE TO INCORRECT INPUT OF A NICKNAME DURING A TRANSFER. USERS ARE SOLELY RESPONSIBLE FOR VERIFYING THE RECIPIENT'S NICKNAME BEFORE PROCEEDING WITH ANY TRANSACTION.

10. Intellectual Property

• All trademarks, logos, service marks, and copyrighted content related to the Wallet are the exclusive property of Nexus.
• You may not reproduce, distribute, or create derivative works based on the Wallet or its content without prior written consent.

11. Changes to Terms & Suspension/Termination

• We may modify these Terms at any time at our sole and absolute discretion without notice. Continued use of the Wallet following changes constitutes acceptance of the modified Terms.
• We reserve the right to suspend or terminate your access to the Wallet if you violate the Terms.
  When the Terms is terminated, all benefits obtained by users through the Wallet use shall expire and Nexus provides no separate compensation for such expired benefits.
• Nexus does not separately store, manage or save Recovery Phrases and/or private keys/passwords. Therefore, users shall exercise caution in the backup and management of Recovery Phrases/private keys/passwords before removing the Wallet.
• Nexus may modify or suspend the services of the Wallet, in part or in whole, for any one of the following operational or technical reasons:
  • suspected or potential illegal or inappropriate activity related to the Wallet.
  • maintenance, equipment failure, communication issues, or excessive traffic.
  • power outages, widespread network failures, or force majeure events such as natural disasters.
    regulatory changes or legal restrictions making it impossible to continue providing the Wallet.
  • In such cases, Nexus will notify users in advance via the app store or other reasonable means. However, in unavoidable circumstances, notification may be provided afterward.
  • The Company may modify or suspend all or part of its complimentary services of the Wallet in accordance with the Terms, and shall not provide any compensation whatsoever to users.

12. Data Privacy & Security

• Nexus may collect anonymized usage data to improve Wallet functionality. However, we do not collect, store, or share private keys, passwords, or Recovery Phrases.
• Nexus follows industry-standard security protocols, but you acknowledge that no system is entirely secure.
• In cases where Social Login is used, Nexus may receive limited personal information from the authentication provider (such as email address and public profile name), subject to your authorization and the provider’s terms.
• Nickname information is treated as a publicly visible identifier set by the user. It may be exposed to other users through nickname-based transfer or search functions. This information will not be used or collected for marketing or profiling purposes.
• Users can manage or delete their nickname at any time. Deleting a nickname may restrict access to certain features.

13. Compliance with Laws

• Users agree to comply with all applicable laws, including taxation laws concerning cryptocurrency transactions.
• Nexus reserves the right to restrict access to users in jurisdictions where the use of cryptocurrency wallets is restricted or illegal.

14. Indemnity

You will indemnify, defend and hold harmless Nexus and its affiliates and its and their respective officers, directors, employees, agents and representatives, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of, relating to or in any way connected with your access to or use of the Wallet/third parties services or your violation of these Terms.

15. Acknowledgement of Risks

By using the Wallet, you acknowledge and understand the risks of blockchain and digital asset transactions. Digital assets are highly volatile, transaction costs and speeds may vary, and fraudulent tokens may exist. Nexus is not responsible for any losses or transaction outcomes, and its services may be affected by regulations, technological advancements, or blockchain network issues. Nexus is not a broker and does not provide financial advice; users are responsible for complying with applicable laws. You assume all risks and waive any legal claims against Nexus.

16. General Terms

• These Terms constitute the entire agreement between you and Nexus regarding Wallet usage.
• If any provision of these Terms is deemed invalid, the remaining provisions will remain in effect.
• Your continued use of the Wallet signifies your acceptance of these Terms.
• No delay or omission by us in exercising any right or remedy under the Terms will operate as a waiver of the future exercise of that right or remedy or of any other rights or remedies under the Terms. The rights and remedies provided in the Terms are cumulative and not exclusive of any rights or remedies provided by applicable law.
• You may not assign or transfer any of your rights or obligations under the Terms without our prior written consent, which may, in some cases, require additional information to be provided or enhanced due diligence to be performed. However, we may assign or transfer any of our rights or obligations under the Terms at any time to anyone else, including, without limitation, in connection with any merger, acquisition, or other corporate reorganization.

17. Governing Law and Dispute Resolution

• The Terms shall be governed by the laws of the Republic of Korea.
• Any disputes arising from these Terms shall be exclusively resolved by the Seoul Central District Court.
• Users waive their right to participate in class-action lawsuits and agree to resolve disputes on an individual basis.
